These Terms of Use ("Terms") govern your access to and use of the VitaCredit website, app, and related services provided by VitaCredit, Inc. ("VitaCredit," "we," "us," or "our").

By accessing or using our website, app, or services, you agree to be bound by these Terms. If you do not agree, do not use the website or services.

1. Eligibility

You must be at least 18 years old to use the VitaCredit services. By using the services, you represent and warrant that you are at least 18 years old and that all information you provide is accurate and complete.

If we discover that an account belongs to a person under 18, we will close the account and refund any unredeemed Purchased VC to the original payment method.

2. Description of Services

VitaCredit provides a stored-value credit platform through which users may purchase VitaCredits ("VC") and redeem them at participating partner clinics for eligible services or products, subject to applicable rules, partner participation, redemption terms, and platform limitations.

VitaCredit is not a bank, deposit account, lender, insurance product, or medical provider. VitaCredit is a stored-value platform and technology service supporting purchases, balances, and redemptions within participating partner networks.

3. No Medical Advice; No Provider Relationship

The VitaCredit website and services do not provide medical advice, diagnosis, or treatment. Nothing on the website or app constitutes medical, legal, financial, or tax advice.

Any medical, aesthetic, or treatment-related services are provided solely by participating clinics or providers. VitaCredit is not responsible for the quality, safety, legality, or outcomes of services or products offered by participating clinics.

4. Accounts

To use certain services, you must create an account. You agree to provide accurate, current, and complete information and to keep that information updated.

We reserve the right to suspend or terminate accounts that are inaccurate, fraudulent, abusive, or otherwise violate these Terms.

5. VitaCredit Balance and Expiration

VitaCredit consists of two types of credit:

When you redeem VC, Bonus VC and Promotional VC are consumed before Purchased VC. Expired Bonus VC and Promotional VC are forfeited and cannot be reinstated.

In accordance with California Civil Code §1749.5, if your Purchased VC balance falls below ten dollars ($10) in equivalent value, you may request to redeem the remaining balance for cash. Such requests must be submitted to support@vitacredits.com.

6. Treatment Credits

In addition to VC, you may hold Treatment Credits ("TC"), which represent a specific service or product (for example, a number of units or sessions) at a specific participating clinic. TC is clinic-specific and may only be redeemed at the issuing clinic. TC expiration, if any, will be disclosed at the time of issuance.

7. Purchases

All VC purchases are processed through our third-party payment processor. By purchasing VC, you authorize us and our payment processor to charge your payment method for the amount of the purchase.

Refunds may be requested in two forms:

9. Redemptions at Participating Clinics

You may redeem VC only at participating clinics and only for eligible services or products accepted through the VitaCredit platform.

Partner clinic participation may change over time. VitaCredit does not guarantee that a particular clinic, service, or product will remain available for redemption at all times.

Clinics remain independently responsible for their own operations, pricing, services, product offerings, scheduling, compliance, and patient care.

10. Family Transfers

You may register up to three (3) additional family members under your account ("Family Members"). All Family Members must share the same designated home clinic and must be approved and registered by an authorized administrator at that home clinic.

You may transfer VC and TC among approved Family Members, subject to the following:

Family transfers are intended for genuine family use only and may not be used to circumvent platform rules, resell VC, or transfer VC to non-family members.

11. No Resale or Gifting

VC may not be resold, transferred, or gifted to any person other than approved Family Members as described in Section 10. Any attempt to resell or commercially transfer VC is prohibited and may result in account suspension or termination.

12. Communications

By creating an account, you consent to receive transactional communications related to your account, including authentication, account security, transaction confirmations, and required legal notices. These communications are necessary for the operation of the services and cannot be opted out of while your account is active.

Marketing communications, promotional notifications, and announcements are optional. You may opt in or out of marketing communications at any time through the in-app notification settings.

13. Account Suspension and Termination

We may suspend, restrict, or terminate access to the services at any time, with or without notice, if we believe:

If your account is suspended, you will lose access to the app, but your transaction history will be retained on our systems. If your account is terminated for cause, any unredeemed Purchased VC will be refunded to your original payment method to the extent reasonably possible, and any Bonus VC or Promotional VC will be forfeited. Termination does not limit any rights or remedies available to VitaCredit.

All content, software, branding, text, graphics, logos, interfaces, and related materials provided by VitaCredit are owned by VitaCredit or its licensors and are protected by applicable intellectual property laws.

Except for limited rights to access and use the services in accordance with these Terms, no rights are granted to you.

16. Feedback

If you provide suggestions, ideas, comments, or feedback, you grant VitaCredit a worldwide, perpetual, irrevocable, royalty-free right to use, modify, disclose, and exploit such feedback without restriction or compensation.

17. Third-Party Services

The services may integrate with or depend on third-party platforms, processors, service providers, clinics, and websites. We are not responsible for third-party services, content, policies, or availability.

18. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

We do not warrant that the services will be error-free, secure, uninterrupted, or free from harmful components.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITACREDIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITACREDIT'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VITACREDIT IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless VitaCredit and its affiliates, officers, directors, employees, contractors, and agents from any claims arising out of your use of the services, your violation of these Terms, or your violation of applicable law.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

22. Mandatory Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the services ("Dispute") shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except as provided below.

You and VitaCredit agree that any arbitration shall be conducted on an individual basis only. Class actions, class arbitrations, collective actions, and representative actions are not permitted. The arbitrator may not consolidate claims of more than one person without the consent of all affected parties.

The arbitration shall take place in California, or another location mutually agreed by the parties, and may be conducted by telephone or video conference where permitted by AAA rules.

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may also seek injunctive relief in court to protect intellectual property rights.

Right to Opt Out: You may opt out of this arbitration agreement by sending written notice of your decision to opt out to support@vitacredits.com within thirty (30) days after first accepting these Terms. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration. Opting out will not affect any other provision of these Terms.

If any portion of this Section 22 is found unenforceable, the remainder shall continue in effect, and any unenforceable portion shall be severed.

23. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, or other corporate transaction.

24. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, labor disputes, government action, network failures, or third-party service outages.

25. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised Effective Date. Continued use of the services after changes become effective constitutes acceptance of the updated Terms. For material changes, we will provide reasonable notice through the app or by email.

26. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

27. Entire Agreement

These Terms, together with our Privacy Policy and any consent or program rules referenced herein, constitute the entire agreement between you and VitaCredit regarding the services.
