These Terms of Use (“Terms”) govern your access to and use of the VitaCredit website, app, and related services provided by VitaCredit, Inc. (“VitaCredit,” “we,” “us,” or “our”).

By accessing or using our website, app, or services, you agree to be bound by these Terms. If you do not agree, do not use the website or services.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the VitaCredit services unless otherwise expressly permitted by applicable law and authorized by a parent or legal guardian.

By using the services, you represent and warrant that you satisfy all eligibility requirements.

2. Description of Services

VitaCredit provides a stored-value credit platform through which users may purchase VitaCredits and redeem them at participating partner clinics for eligible services or products, subject to applicable rules, partner participation, redemption terms, and platform limitations.

VitaCredit is not a bank, deposit account, lender, insurance product, or medical provider. VitaCredit is a stored-value platform and technology service supporting purchases, balances, and redemptions within participating partner networks.

3. No Medical Advice; No Provider Relationship

The VitaCredit website and services do not provide medical advice, diagnosis, or treatment. Nothing on the website or app constitutes medical, legal, financial, or tax advice.

Any medical, aesthetic, or treatment-related services are provided solely by participating clinics or providers. VitaCredit is not responsible for the quality, safety, legality, or outcomes of services or products offered by participating clinics.

4. Accounts

To use certain services, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for:

• maintaining the confidentiality of your credentials;
• all activities that occur under your account;
• promptly notifying us of unauthorized use or suspected security issues.

We reserve the right to suspend or terminate accounts that are inaccurate, fraudulent, abusive, or otherwise violate these Terms.

5. Purchases and Stored Value

VitaCredits represent stored value within the VitaCredit platform and may be subject to:

• eligibility requirements;
• expiration rules, if applicable;
• promotional terms;
• redemption limitations;
• clinic participation status;
• account verification requirements.

Stored value is not legal tender, is not redeemable for cash except where required by law, and does not constitute a bank deposit or insured financial account.

All purchases are final except as required by law or expressly provided in written policies.

6. Redemptions at Participating Clinics

Users may redeem VitaCredits only at participating clinics and only for eligible services or products accepted through the VitaCredit platform.

Partner clinic participation may change over time. VitaCredit does not guarantee that a particular clinic, service, or product will remain available for redemption at all times.

Clinics remain independently responsible for their own operations, pricing, services, product offerings, scheduling, compliance, and patient care.

7. Fees, Promotions, and Program Rules

We may offer bonuses, incentives, promotions, or limited-time program terms. Such offers may be modified, suspended, or terminated at any time, subject to applicable law.

Additional terms may apply to specific offers, programs, or redemption events. In the event of conflict, the specific program terms will control for that promotion or offer.

8. Prohibited Conduct

You agree not to:

• use the services for unlawful, fraudulent, deceptive, or abusive purposes;
• impersonate another person or entity;
• attempt to access accounts, data, or systems without authorization;
• interfere with or disrupt the services or related infrastructure;
• reverse engineer, scrape, copy, or exploit the services except as allowed by law;
• use the services in violation of any applicable law, regulation, or third-party right.

9. Intellectual Property

All content, software, branding, text, graphics, logos, interfaces, and related materials provided by VitaCredit are owned by VitaCredit or its licensors and are protected by applicable intellectual property laws.

Except for limited rights to access and use the services in accordance with these Terms, no rights are granted to you.

10. Feedback

If you provide suggestions, ideas, comments, or feedback, you grant VitaCredit a worldwide, perpetual, irrevocable, royalty-free right to use, modify, disclose, and exploit such feedback without restriction or compensation.

11. Third-Party Services

The services may integrate with or depend on third-party platforms, processors, service providers, clinics, and websites. We are not responsible for third-party services, content, policies, or availability.

12. Suspension and Termination

We may suspend, restrict, or terminate access to the services at any time, with or without notice, if we believe:

• you violated these Terms;
• your activity presents risk to users, clinics, partners, or VitaCredit;
• required by law, regulation, or security concerns.

Termination does not limit any rights or remedies available to VitaCredit.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

We do not warrant that the services will be error-free, secure, uninterrupted, or free from harmful components.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITACREDIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITACREDIT’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VITACREDIT IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless VitaCredit and its affiliates, officers, directors, employees, contractors, and agents from any claims arising out of your use of the services, your violation of these Terms, or your violation of applicable law.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in California.

18. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised Effective Date. Continued use of the services after changes become effective constitutes acceptance of the updated Terms.
